1. Acceptance of Terms

These Terms of Use ("Terms") regulate the relationship between you and UPGAMES TECH LTD ("Gamestaken.com", "we", "us", "our") and govern your access to and use of the Online Shop.

• Order Confirmationmeans the communication (electronic or otherwise) sent by Gamestaken.com to a Buyer confirming the successful purchase of a Product.
• Privacy Policymeans Gamestaken.com's policies regarding the collection, use, and protection of personal data.
• Product means any Digital Good offered for sale through the Online Shop.
• Service means the provision of access to Digital Goods, Customer Support, and related features offered through the Online Shop.
• User, you, and your collectively mean any individual, company, or organization that accesses or uses the Online Shop, whether as a visitor or as an Account holder.

3. Changes to Terms

Gamestaken.com reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time.

We will make reasonable efforts to notify Users of any material changes, such as by posting a notice on the Online Shop or by sending an email to the address associated with your Account. However, it is your responsibility to review these Terms periodically.

Each Account is personal to the individual User.

You may not transfer, sell, or assign your Account to any other person or entity without the prior written consent of Gamestaken.com.

6. Products and Services

• Subscription codes;

All Products offered on the Online Shop are digital in nature and are delivered electronically.

No physical goods will be shipped to Buyers.

7. Order Process and Payment Terms

7.2 Payment

7.3 Order Confirmation

The Order Confirmation will detail:

The issuance of an Order Confirmation does not constitute acceptance of your order by Gamestaken.com until the digital delivery of the Product(s) is completed.

7.4 Payment Verification

Failure to provide requested verification information may result in order cancellation and/or suspension of your Account.

8. Delivery of Digital Goods

No physical items will be shipped to Buyers.

Upon successful completion of payment and any required verification checks, the digital delivery of your purchased Product(s) will occur as follows:

• Activation keys, subscription codes, or gift cards will be made available via your Account dashboard or sent to the email address associated with your Account;
• Instructions for redeeming and activating the Product(s) will be provided where applicable.

Gamestaken.com endeavors to deliver digital goods promptly following successful payment.

However, delivery times may vary depending on factors such as:

• Completion of identity verification processes;

You are responsible for ensuring that your email address and Account information are accurate and up to date to receive digital goods without delay.

Gamestaken.com is not responsible for delivery failures due to:

Once a Product is delivered electronically, the risk of loss and title for that Product passes to you.

You are solely responsible for securing any digital keys, codes, or credentials received from Gamestaken.com.

We are not responsible for any loss, theft, unauthorized access, or misuse of delivered digital goods once they have been provided to you.

9. No Refund Policy

All sales of Products through the Online Shop are final.

Due to the nature of digital goods, Gamestaken.com maintains a strict no refund, no return, and no exchange policy.

By purchasing Products from the Online Shop, you expressly acknowledge and agree that:

• Once a digital Product (such as an activation key, subscription code, or gift card) has been delivered to you, whether by email, Account dashboard, or other electronic means, you lose your right to cancel or request a refund;
• Digital Products are considered delivered and consumed immediately upon delivery and access being granted.

Refunds will not be provided for reasons including, but not limited to:

• You changed your mind after purchasing;
• You purchased the wrong Product;
• You failed to meet system or region requirements necessary to redeem or use the Product;
• You failed to safeguard or lost access to the delivered Product.

In exceptional cases where Gamestaken.com determines, at its sole discretion, that a refund is appropriate, such refund will be made via store credit or another method chosen by Gamestaken.com.

Refunds to the original payment method are not guaranteed and may be unavailable, especially if a significant time has passed since the original purchase.

Gamestaken.com reserves the right to investigate any refund request and to approve or deny it at its sole discretion.

By completing a purchase through the Online Shop, you agree to this No Refund Policy.

10. Pricing and Availability

Prices for Products offered on the Online Shop are subject to change at any time without notice.

Gamestaken.com makes reasonable efforts to ensure that all prices, descriptions, and availability information displayed on the Online Shop are accurate.

However, occasional errors, inaccuracies, or omissions may occur.

If your payment has already been processed and your order is canceled, Gamestaken.com will issue a refund in accordance with our refund handling policies.

This license is revocable at any time without notice and without liability to you.

13. Prohibited Conduct

• Attempting to probe, scan, or test the vulnerability of any Gamestaken.com system or network, or to breach any security or authentication measures;
• Collecting or harvesting any information from the Online Shop about other Users, including email addresses, without prior written consent;
• Circumventing, disabling, or otherwise interfering with security-related features of the Online Shop, or features that prevent or restrict use or copying of any content;
• Using automated scripts, bots, scrapers, or similar methods to access, retrieve, or index any portion of the Online Shop without prior written permission;
• Decompiling, reverse engineering, or otherwise attempting to derive the source code of any software available through the Online Shop.

Gamestaken.com reserves the right to investigate and take appropriate legal action against anyone who violates this section, including terminating or suspending access to the Online Shop and reporting such violations to law enforcement authorities.

14. Termination and Suspension

Gamestaken.com reserves the right, at its sole discretion, to suspend, terminate, or restrict your access to all or part of the Online Shop and Services, without notice or liability, for any reason, including, without limitation, if we reasonably determine that:

• You have violated these Terms or any applicable laws or regulations;
• You have engaged in fraudulent, abusive, or illegal activities;
• Your actions may cause legal liability for Gamestaken.com or other Users;
• Your Account has been inactive for an extended period of time;
• Continuation of your access would be detrimental to the security, stability, or integrity of the Online Shop.

Upon termination:

• Your right to access and use the Online Shop and Services will immediately cease;
• Any licenses granted to you under these Terms will be revoked;
• You remain liable for all obligations and liabilities accrued prior to termination.

Gamestaken.com is not liable to you or any third party for any termination or suspension of your access to the Online Shop or deletion of your Account information.

Termination of your Account does not limit any rights or remedies available to Gamestaken.com under these Terms or at law.

15. Disclaimers and Limitation of Liability

15.1 Disclaimers

The Online Shop and all Products and Services offered through it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Gamestaken.com disclaims all warranties, express, implied, statutory, or otherwise, including without limitation:

• Warranties of merchantability, fitness for a particular purpose, non-infringement, and title;
• Warranties arising from a course of dealing or usage of trade.

Gamestaken.com does not guarantee that:

• The Online Shop or any content, Products, or Services will meet your requirements or expectations;
• The Online Shop will be uninterrupted, timely, secure, or error-free;
• Any defects or errors will be corrected;
• The Online Shop or the servers that make it available are free of viruses or other harmful components.

You assume all risk for any damage to your computer system, loss of data, or other harm that results from your use of the Online Shop, including any damages resulting from downloads or use of content or Products.

15.2 Limitation of Liability

To the maximum extent permitted by applicable law, Gamestaken.com and its affiliates, officers, directors, employees, and agents shall not be liable for any:

• Loss of profits, revenue, goodwill, data, or other intangible losses;

Gamestaken.com's total liability for any claims arising out of or relating to these Terms, the Online Shop, or the Products and Services, whether in contract, tort, or otherwise, shall be limited to the greater of:

• The amount you paid to Gamestaken.com for the specific Product giving rise to the claim; or
• One hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

In such cases, Gamestaken.com's liability will be limited to the fullest extent permitted by applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Gamestaken.com, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Online Shop, Products, or Services;
• Your violation of these Terms or any applicable law, regulation, or third-party right;
• Your breach of any representations, warranties, or covenants made under these Terms;
• Any User Content you submit, post, or transmit through the Online Shop;
• Your violation of any intellectual property rights, privacy rights, or other rights of any third party.

Gamestaken.com reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Gamestaken.com in asserting any available defenses.

This indemnification obligation will survive the termination of your use of the Online Shop and the termination of these Terms.

17. Governing Law and Jurisdiction

These Terms and any disputes, claims, or controversies arising out of or relating to these Terms, the Online Shop, the Products, or the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts of England, and you hereby consent to the exclusive jurisdiction and venue of such courts.

You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts, including any claim that such action or proceeding has been brought in an inconvenient forum.

Nothing in this section shall limit Gamestaken.com’s right to seek injunctive relief or other equitable remedies in any jurisdiction.
